What is a Community Benefit Society (CBS)? 

A CBS is a legal entity, subject to Society Law, listed on the Mutuals Register and monitored by the Financial Conduct Authority.  

It operates on a democratic, one-member-one-vote system, membership is obtained by purchasing shares. A CBS must reinvest surplus profits into the business or the community. Established in 2024, Shipton Community Pub Ltd is a CBS. Our vision is to purchase, renovate and establish the Boot Inn as a community pub.   

Who runs Shipton Community Pub Ltd? 

Shipton Community Pub Ltd (SCPL) is run by local volunteers committed to saving the Boot Inn and creating wider benefits. Supported by The Plunkett Foundation and other community pubs, we've launched our SNAP campaign (Shipton Needs A Pub) to engage and inform the community throughout the project. Once the share offer is launched and the Society has its first pool of members, SCPL will hold its first AGM. At this point, the current committee must stand down, and a new Management Committee will be elected from the members (current committee members can stand for re-election).  

Why are we running a pledge campaign? 

Our pledge campaign is crucial to securing the Boot Inn’s future. Without strong community support, our project may not survive. Reaching our pledge target will prove to the pub’s owner, funders, and investors that we are committed to saving our local. A successful pledge campaign will take us a step closer to bringing the Boot Inn back. 

How does it work?  

You pledge the amount of community shares you would be willing to buy once the share offer is launched. Pledging is a non-binding commitment, and we are not asking you to invest any money at this stage. Consider it your promise, a demonstration of support for the project. The Pledge campaign closes on 21st June 2025, so make sure to get your form in by this date. When we launch the share offer, you will be given a copy of our share offer prospectus, which will contain our business plan and have all the information you need to make an informed choice. You will then have the option to convert your pledge into community shares. 

What are community shares?  

Community shares are a form of social investment that gives members ownership and a say in SCPL. Members have voting rights, can put themselves forward for the committee, and help shape key decisions. Shares are withdrawable (can be cashed out under set conditions) but not transferable (cannot be sold). Community shares in societies are governed by societal law and are wholly different from share capital in companies which are governed by company law. Community shares can be purchased for other people, including minors, and can be held in more than one name. In the case of a group, the group or partners would elect a named representative to attend meetings with one vote. How much can I pledge?  

We need to raise a significant amount of money to purchase, renovate and reestablish the Boot Inn. It can be done! Many other community pubs have succeeded.  

You can pledge the amount you believe you can support once the share offer is released. The minimum share purchase is set at £50 and the maximum purchase of £25,000 per person. There is no obligation to invest if circumstances change, but we ask that pledges be made in good faith. 

What happens after I pledge?  

Once we process your pledge, you'll receive an acknowledgement email. When we hit our target, we'll launch the official share offer and send you a share offer prospectus with full details, including our business plan. You'll then be invited to convert your pledge into community shares. 

What is the difference between donating and investing in community shares? 

A donation is a gift to support SCPL with no expectation of financial return. Community shares give you part-ownership of SCPL and may provide modest interest payments when the business performs well and in line with our rules. 

Will I get a return on my investment? 

Community shares are primarily for social investment rather than financial gain. However, if the business performs well, we may be able to offer modest interest payments or allow share withdrawals in line with our society's rules. Many community pubs offer interest payments a few years after trading begins. 

What happens to my shares if I die? 

Community shares can be passed on to a nominated beneficiary or next of kin. To do this, you will need to complete a nomination form when you invest, specifying who should inherit your shares. If no beneficiary is nominated, SCPL will follow its rules on handling deceased members' shares, which may include refunding the value of the shares to the member's estate. 

What happens if you do not reach your pledge target? 

Pledges are crucial to the future of the campaign. If we do not reach our pledge target, we will review our plans and explore alternative options.  

How can I get involved beyond pledging? 

We welcome volunteers, skill-sharing, and spreading the word about our campaign. You can also attend sub-group meetings, join working groups, or help with promotional and fundraising activities.  

How can I pledge? 

We will hand-deliver pledge forms to every house in Shipton Bellinger on Saturday, 3rd May 2025. If you would like additional forms to give to family, friends or colleagues, please contact us, details below.

Who will have access to my data?  

Your details will be handled and stored in line with our privacy policy. Only designated members of the committee will administer your pledge form, and it will be treated with the strictest confidentiality. Data will not be sold, nor will it be shared without your permission, unless required to do so by law.
